Terms of Service

The rules of the road for using Duke Analytics. Written for humans, enforceable by law.

01Agreement

These Terms of Service form a binding agreement between you (or the organisation you represent) and Duke Analytics SAS. By accessing or using the Duke Analytics service, you accept these terms.

Enterprise customers sign a separate Master Service Agreement (MSA) which prevails over these terms where they conflict.

02Accounts

  • You must provide accurate registration information and keep it up to date.
  • You are responsible for all activity under your account.
  • Sharing credentials between users is not permitted.

03Acceptable use

You agree not to misuse the service. In particular, you will not attempt to circumvent security controls, reverse-engineer the platform, or use Duke to process content that is unlawful, infringing, or violates third-party rights.

04Your data

You retain all rights to the data you submit. We process it solely to operate the service as instructed by you, subject to our Data Processing Agreement (DPA). We do not train foundation models on your customer data.

05Subscriptions, fees and renewal

  • Subscriptions are billed in advance, monthly or annually as selected.
  • Fees exclude VAT, which is added where applicable.
  • Plans renew automatically at the end of each term unless cancelled before renewal.
  • Downgrades and cancellations take effect at the end of the paid term.

06Service levels

Production environments target 99.9% monthly uptime. Detailed SLAs, support response times and service credits are described in the Enterprise SLA addendum.

07Intellectual property

Duke Analytics owns all rights in the platform, including the runtime, Semantic Layer engine, agents and brand. The Duke Agents Runtime is released under Apache 2.0; all other components are proprietary.

08Confidentiality

Each party will protect the other's confidential information using at least the same standard of care it uses for its own, and never less than reasonable care.

09Warranties & liability

The service is provided on an 'as available' basis. To the maximum extent permitted by law, our aggregate liability is limited to the fees paid by you in the twelve months preceding the event giving rise to the claim. Nothing in these terms excludes liability that cannot lawfully be excluded.

10Termination

Either party may terminate the agreement for material breach not cured within 30 days of notice. On termination, you may export your data for 30 days, after which it is permanently deleted.

11Governing law

These terms are governed by French law. Any dispute will be subject to the exclusive jurisdiction of the competent courts of Paris.
